These terms and conditions ("Terms") apply to the usage of the website available on https://www.myso.finance/ including the interface to the MYSO protocol (the "Website") operated by the not-for profit association MYSO Finance (the "Association").
By visiting the Website, you (the "Visitor") accept these Terms.
If you do not agree to these Terms, you shall not visit, use, or access the Website.
The Website provides an interface for the easier interaction with the decentralized smart contract system called MYSO protocol (the "Protocol"). The Protocol runs in a fully decentralized and autonomous manner on the Ethereum network. Neither the Website nor the Association operates or is in any way necessary for the operation of or interaction with the Protocol. Any Visitor is free to use any other means of interaction with the Protocool.
The Association is neither involved nor in any way responsible for the operation, running or functioning of the Protocol and/or any of the interactions, collaborations or factual relationships between its users and the smart contracts of the Protocol. The Association has neither access to nor any other possibility to control and/or influence the corresponding transactions, deposits and/or allocations made by the Visitor or any other user of the Protocol.
Your access and use of any Protocol is entirely at your own risk and could lead to substantial or complete loss of funds. To assess the viability, risks and suitability of the Protocol lies in your sole responsibility.The Association provides the Website 'as is' and makes no representation or warranty of any kind, including its suitability, quality, availability, accessibility, accuracy or safety.
Any software provided by the Association as well as the Protocol are of experimental nature and may contain bugs, defects, or errors that may materially and adversely affect their use, functionality, or performance.
The Visitor acknowledges and agrees that the Protocol is an open-source project to which the Association has contributed, but is in no way responsible for. Upgrades and modifications to the Protocol may be managed in a community-driven way. No developer, entity, any of its representatives or directors or any other persons involved in any way with the Protocol are liable for any claims or damages whatsoever associated with your use, inability to use, or your interaction with other users of, the Protocol, including any direct, indirect, incidental, special, exemplary, punitive or consequential damages, or loss of profits, cryptocurrencies, tokens, or anything else of value.
The Association is solely liable to the Visitor for damages resulting from the Association’s gross negligence or wilful misconduct relating to the Website. In all other cases, the Association’s liability under the Terms is excluded to the maximum extent permitted under applicable law.
Neither party may recover from the other party, regardless of the legal reason, any amount with respect to loss of profit, data, or goodwill, or any consequential, incidental, indirect, punitive, or special damages in connection with claims arising out of these Terms or otherwise relating to the Website, whether or not the likelihood of such loss or damage was contemplated. The Association will not be held liable for inaccuracy or incompleteness of the Website.
The Visitor acknowledges that the Website and the Protocol is provided "as is" and "as available", and the Association makes no warranties or representations of any kind related to the Website or the Protocol or the information and materials contained thereon.
The Website may contain third-party content or links to third-party websites. The Association does not assume any responsibility for and does not make any warranties or representations as to any third-party content or websites, including but not limited to the accuracy, subject matter, quality, or timeliness.
The Website may only be used by persons that are at least the age of majority in your jurisdiction (and in any case at least eighteen years old) and have the full right, power, and authority to enter into and comply with the terms and conditions of these Terms on behalf of yourself and any company or legal entity for which you may access or use the Website.
You represent that your access and use of the Webiste will fully comply with all applicable laws and regulations, and that you will not access or use the Webiste to conduct, promote, or otherwise facilitate any illegal activity.You further represents that you are not a resident of any of the following countries: Belarus, the Central African Republic, the Democratic Republic of Congo, the Democratic People’s Republic of Korea, the Crimea region of Ukraine,Russia, Cuba, Iran, Libya, Somalia, Sudan, South Sudan, Syria, the USA, Yemen, and Zimbabwe or any other jurisdiction in which accessing or using Protocol is or may be prohibited (“Prohibited Jurisdictions”). In using the Website, you confirm that you are not located in, incorporated or otherwise established in, or a citizen or resident of, a Prohibited Jurisdiction, use a VPN to pretend not to be from a Prohibited Jurisdiction, or that you are the subject of economic or trade sanctions administered or enforced by any governmental authority or otherwise designated on any list of prohibited or restricted parties (including but not limited to the list maintained by the Office of Foreign Assets Control of the U.S. Department of the Treasury).
All rights, titles, and interests to its own intellectual property, including all copyrights, inventions, trademarks, designs, domain names, know-how, trade secrets, data and other intangible property rights ("Intellectual Property Rights") remain vested in the Association.
If the Visitor's private key(s) are lost, the Visitor will lose its access to the Protocol and any tokens locked in the protocol. The Association has no means of recovering such access and/or token and is not responsible for any such losses.
The Visitor bears the sole responsibility to determine if its interaction with the Protocol and any potential gains and/or profits and/or any other action or transaction related to the Protocol has tax implications for the Visitor.
Entire Agreement: Any deviation from the Terms not anticipated by the Terms requires an explicit reference to the altered clause of the Terms. General terms and conditions of the Visitor are excluded unless they have been expressly accepted by the Association.
Changes to Terms: The Association may, from time to time, change these Terms. The Terms at the time of visit apply.
No Assignment: The Visitor may not assign any of its rights, obligations, or claims under the Terms without the previous consent of the Association.
Severability: If any provision of the Terms (in whole or part) is held to be illegal, invalid or otherwise unenforceable, the other provisions will remain in full force and effect.
Governing Law & Jurisdiction: These Terms, and all claims or causes of action that may be based upon, arise out of or relate to these Terms shall be governed by and construed in accordance with the substantive laws at the seat of the Association, excluding its conflict of law provisions and the United Nations Convention on Contracts for the International Sale of Goods (CISG). The ordinary court at the seat of the Association has jurisdiction for all disputes arising from or in connection with the Terms.
Class action and jury trial waiver: You must bring any and all disputes against us in your individual capacity and not as a plaintiff in or member of any purported class action, collective action, private attorney general action, or other representative proceeding. This provision applies to class arbitration. You and we both agree to waive the right to demand a trial by jury.
